Reliance Petroleum Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 02, 2009, inter alia, has approved a Scheme of Amalgamation ("the Scheme") of the Company with Reliance Industries Ltd (the "Transferee Company") under the provisions of Sections 391 to 394 of the Companies Act, 1956. The Scheme shall be subject to necessary approvals of shareholders and creditors and sanctions of the Hon'ble High Court of Judicature at Bombay and the Hon'ble High Court of Gujarat at Ahmedabad. The Appointed Date of the amalgamation is April 01, 2008. Upon completion of the amalgamation, shareholders of the Company will receive 1 fully paid equity share of Rs 10 each of Reliance Industries Ltd for every 16 fully paid equity shares of Rs 10 each of the Company held by them on the record date to be fixed by the Transferee Company. 12-Jan-2009	20-Jan-2009	Reliance Petroleum Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on January 20, 2009, inter alia, to consider, the Disclosures as required under Clause 41 and 43 of the Listing Agreement for the quarter ended December 31, 2008. Reliance Petroleum Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 20, 2009, has approved the disclosures, which were reviewed by the Audit Committee : 1. The Project commenced crude processing on December 25, 2008. The secondary processing units are under synchronization and commissioning. 2. The Company had raised Rs 8,100 crore through Initial Public Offering. As on December 31, 2008, the Company has utilised Rs 26,217 crore for the Project. The projected utilization of funds as per the Prospectus dated April 28, 2006 was Rs 27,000 crore. 3. The exchange rate as on December 31, 2008 was Rs 48.71 / US Dollar as compared to Rs 45 / US Dollar at the time of Initial Public Offer. 4. There were no investor complaints pending as on September 30, 2008. During the quarter, the Company received 14 complaints.
