Tata Capital Housing Finance Limited (the 'Company') was incorporated on 15 October 2008. The Company obtained the certificate of registration under the National Housing Bank ('NHB') as required under Section 29A of the NHB Act, 1987 on 02 April 2009. The Company is a wholly owned subsidiary of Tata Capital Limited(TCL). The Company is engaged in the business of providing loans for purchase, construction, repairs and renovation etc, of houses/ flats to individuals and corporate bodies and has it's operations across India.
During the FY2016, the Company issued and allotted to TCL, 245000000 CCCPS of Rs. 10 each, at par, aggregating Rs. 245 crore on Rights basis.
During FY 2015-16, the Company met its funding requirements through a combination of short term debt (comprising Commercial Paper and Bank Loans) and long term debt (comprising Non Convertible Debentures ('NCD'), Subordinated Debt and Bank Loans). During the year, the Company issued on a private placement basis, Secured Redeemable NCDs of an aggregate Face Value of Rs. 2,259.50 crore and Unsecured Redeemable Non-Convertible Subordinated Debentures, as Tier II Capital, of an aggregate Face Value of Rs. 200 crore and received funding of Rs. 918.20 crore from NHB. The aggregate debt outstanding as at 31 March 2016 was Rs. 11,605 crore.
The Company's loan portfolio stood at Rs. 13,005 crore as on 31 March 2016 (Rs. 9,088 crore as on 31 March 2015), representing an increase of 43%.
During the FY2017, the Company issued and allotted to TCL, 9%, 16,50,00,000 CCCPS of Rs 10 each, at par, aggregating Rs 165 crore on Rights basis.
The Company's loan portfolio stood at Rs 16,926 crore as on 31 March 2017 (Rs 13,005 crore as on 31 March 2016), registered a growth of 30%.
During the year 2016-17, the Company issued on a private placement basis, Secured Redeemable NCDs of an aggregate Face Value of Rs 1,949.40 crore and Unsecured Redeemable Subordinated NCDs, as Tier II Capital, of an aggregate Face Value of Rs 200 crore and received funding of Rs 1,937.47 crore from NHB. The Company securitized some of its receivables aggregating Rs 638.03 crore. The aggregate debt outstanding as at 31 March 2017 was Rs 15,208 crore.
During the FY2018, the Company issued and allotted to TCL, 8.5%, 30,10,00,000 CCCPS of Rs. 10 each, at par, aggregating Rs. 301 crore on a Rights basis.
The Company's loan portfolio stood at Rs. 21,090 crore as on 31 March 2018 (Rs. 16,941 crore as on 31 March 2017), representing an increase of 24%.
During the year 2017-18, the Company issued on a private placement basis, Secured Redeemable NCDs aggregating Rs. 1,095 crore and received funding of Rs. 2,669 crore from NHB. The Company securitized some of its receivables aggregating Rs. 193 crore. The aggregate debt outstanding as at 31 March 2018 was Rs. 18,245 crore.
During the FY2019, the Company issued and allotted to TCL, 8.5%, 55,50,00,000 CCCPS of Rs. 10 each, at par, aggregating Rs. 555 crore on Rights basis. With effect from 01 February 2019, 40,80,00,000 CCCPS of Rs. 10 each held by TCL were converted into 56,376,968 Equity Shares of the Company of Rs. 10 each, at a fair value of Rs. 72.37 per equity share.
During the year 2018-19, the Company issued, on a private placement basis, Secured Redeemable NCDs aggregating Rs. 904.30 crore, raised ECBs amounting to USD 75 million (Rs. 516.15 crore) and received funding of Rs. 2,100 crore from NHB. The aggregate debt outstanding as at 31 March 2019 was Rs. 25,579 crore.
During the FY2020, the Company issued and allotted 2,07,18,232 Equity Shares of Rs. 10 each, at a premium of Rs. 62.40 per share, aggregating Rs. 150 crore to TCL,on a Rights basis on 12 March 2020. Further, on 13 March 2020, 1,57,20,00,000 Compulsorily Convertible Cumulative Preference Shares ('CCCPS') of Rs. 10 each held by TCL were converted into 21,71,27,080 Equity Shares of the Company of Rs. 10 each, at a fair value of Rs. 72.40 per Equity Share.
The Company's loan portfolio stood at Rs. 27,435 crore as on 31 March 2020 (Rs. 26,888 crore as on 31 March 2019), representing an increase of 2%.
On 30 December 2019, the Company issued Secured, Redeemable NCDs and Unsecured, Subordinated, Redeemable NCDs of the face value Rs. 1,000 each ('Tranche 1 Issue'), to the Public. The base issue size of Tranche 1 Issue was Rs. 500 crore, with an option to retain oversubscription upto Rs. 1,500 crore, aggregating upto Rs. 2,000 crore.
On 14 January 2020, the Company allotted 2,00,00,000 NCDs of face value of Rs. 1,000 each aggregating Rs. 2,000 crore, to the successful applicants of the Tranche 1 Issue, comprising 1,92,19,598 Secured NCDs of face value Rs. 1,000 each, aggregating Rs. 1,921.96 crore and 7,80,402 Unsecured NCDs of face value Rs. 1,000 each, aggregating Rs. 78.04 crore. The Company received the trading and listing approval from BSE Limited and the National Stock Exchange of India Limited on 15 January 2020 and the trading of NCDs on the Stock Exchanges commenced from 16 January 2020.
During the year 2019-20, the Company issued, on a private placement basis, Secured Redeemable NCDs aggregating to Rs. 2,261.04 crore. The aggregate debt outstanding as at 31 March 2020 was Rs. 25,528 crore.
Consequent to the outbreak of the COVID-19 pandemic, the Indian government announced a lockdown in March 2020. Subsequently, the national lockdown was lifted by the government, but regional lockdowns continue to be implemented in areas with a significant number of COVID-19 cases. The impact of COVID-19, including changes in customer behaviour and pandemic fears, as well as restrictions on business and individual activities, has led to significant volatility in global and Indian financial markets and a significant decrease in global and local economic activities.
The Company's loan portfolio stood at Rs. 25,442 crore as on 31 March 2021 (Rs. 27,481 crore as on 31 March 2020), representing a decrease of 8%.
During the year 2020-21, the Company issued, on a private placement basis, Secured Redeemable NCDs aggregating to Rs. 2,735 crore and Sub-Debt NCDs of Rs. 50 crore. The aggregate debt outstanding as at 31 March 2021 was Rs. 23,640 crore.
